Capital Markets

Our Capital Markets Team provides comprehensive legal services to all participants of the capital market operating in Poland. DJM lawyers advise in this regard both to professional entities as well as to issuers of securities not connected professionally with the capital market. The practice is in charge of Jarosław Dubiński and Tomasz Masiarz, DJM Managing Partners.

Our lawyers assist the Clients, among other things, in the following areas:

  • the issue of securities,
  • the preparation of issue documentation, including issue prospectuses,
  • the conduct of proceedings before the Polish Financial Supervision Authority relating, among other things, to: the approval of issue documentation and amendments, the cancelation of share dematerialization, the imposition of administrative sanctions,
  • the compliance with obligations set forth in the MAR Regulation,
  • the compliance with information obligations by the issuers,
  • the compliance with obligations related to qualifying holdings in public companies, especially with respect to: notification of any changes in shareholding in public companies, tender offers to acquire or exchange shares, squeeze out and reverse squeeze out.

DJM provides also legal assistance with respect to the regulations of financial market services, including especially brokerage services.

Our regular clients are investment firms and brokerage banks, as well as foreign investment firms, contracting DJM to manage the projects connected with regulatory aspects of service provision, as well as to advise in ongoing issues connected with their operations. DJM managed a number of projects devoted to reorganisation of brokerage services performance within banking capital groups, which were aimed at optimising the operation of various member entities of capital groups from the point of objectives assumed by DJM clients. Some of those projects were pioneer on the Polish market. DJM services cover legal assistance in every aspect connected with the operation of investment firms requiring co-operation with or any procedure conducted with participation of the Polish Financial Services Authority. In recent years, including also after implementation of MiFID and MiFID II in Poland, DJM assisted in the acquisition of many authorisations for the conduct of brokerage activities from the Polish Financial Supervision Authority. Recently, DJM lawyers carried out a legal audit in one of the three largest banks in Poland covering the analysis of conformance of the bank’s operations to legal regulations implementing MiFID II.
